These Affiliate Program Terms and Conditions (“Terms”) are entered into by and between SANTA EMPIRE doing business as SANTA EMPIRE, SANTA ECOMMERCE (“SANTA EMPIRE, SANTA ECOMMERCE“, “we”, “us”, or “our”) and the individual or entity participating in the Company’s Affiliate Program (“Affiliate”).
1. Agreement
By enrolling in the Company’s Affiliate Program, Affiliate agrees to comply with and be bound by these Terms. Participation in the Affiliate Program constitutes Affiliate’s full and unconditional acceptance of these Terms.
2. Enrollment
To enroll in the Affiliate Program, Affiliate must complete the online application on the Company’s website. The Company reserves the right to accept or reject any application in its sole discretion.
3. Affiliate Responsibilities
3.1. Affiliate agrees to promote Company’s products or services in a professional manner and in compliance with all applicable laws and regulations.
3.2. Affiliate is responsible for maintaining the accuracy of his/her contact and payment information within the Affiliate Program platform.
3.3. Affiliate may not engage in any form of fraudulent or unethical marketing practices, including but not limited to spamming, false advertising, or misrepresentation.
4. Commissions
4.1. Affiliate will earn commissions on qualifying sales generated through Affiliate’s unique referral link or code.
4.2. Commissions are subject to change at the Company’s discretion and will be communicated to Affiliate using any method that the company considers right.
4.3. Commissions will be paid out according to the payment schedule outlined in the Affiliate Program platform.
5. Termination
The Company reserves the right to terminate or suspend Affiliate’s participation in the Affiliate Program at any time for any reason, including but not limited to violation of these Terms or engaging in conduct detrimental to the Company’s interests.
6. Modification
The Company reserves the right to modify these Terms at any time without prior notice. Affiliate’s continued participation in the Affiliate Program following any such modification constitutes acceptance of the modified Terms.
7. Limitation of Liability
In no event shall the Company be liable for any indirect, incidental, special, or consequential damages arising out of or in any way connected with Affiliate’s participation in the Affiliate Program.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of laws principles.
9. Entire Agreement
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
