This Sales Agent Agreement (“Agreement”) is entered into by and between Santa Empire(“Company, SANTA EMPIRE, SANTA ECOMMERCE“, “we”, “us”, or “our””) and the individual or entity acting as a sales agent (“Agent”).
1. Appointment
1.1. The Company hereby appoints the Agent as a non-exclusive sales agent to promote and sell the Company’s products or services in the territory agreed upon by both parties.
1.2. The Agent accepts the appointment and agrees to diligently and professionally perform the duties outlined in this Agreement.
2. Responsibilities of the Agent
2.1. The Agent shall actively promote and market the Company’s products or services using best efforts to maximize sales.
2.2. The Agent shall not engage in any activities that may harm the Company’s reputation or violate any laws or regulations.
2.3. The Agent shall promptly report all sales activities and provide regular updates to the Company as requested.
3. Compensation
3.1. The Agent shall receive a commission for sales generated through their efforts.
3.2. The Company shall pay commissions to the Agent in accordance with the payment terms specified in the agreement.
4. Termination
4.1. Either party may terminate this Agreement upon written notice to the other party.
4.2. Upon termination, the Agent shall cease all sales activities on behalf of the Company and return any Company property or materials in their possession.
5. Confidentiality
5.1. The Agent shall maintain the confidentiality of all confidential information disclosed by the Company during the term of this Agreement and thereafter.
5.2. The Agent shall not disclose or use any confidential information for any purpose other than the performance of their duties under this Agreement.
6. Indemnification
The Agent agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising out of or related to the Agent’s actions or omissions under this Agreement.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of laws principles.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
9. Modification
The Agreement may only be modified in writing signed by both parties.
10. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
